Most foreign companies don’t fail in India because they picked the wrong market. They stumble on practical things, like an address the tax office won’t accept, a lease signed for the wrong headcount, or a building that adds an hour to every engineer’s commute.
This playbook is about getting the real estate part right. It covers the order to do things in, which kind of space fits each stage of growth, what Indian law expects from your address, and how leasing works when the parent company is overseas. If you’re planning your first office in Bangalore, read this alongside your legal and tax advice. It won’t replace that advice, but it will help you ask better questions.
Most foreign companies open their first office in Bangalore in stages. Start with a few coworking desks while the Indian company is being registered. Move into a private cabin or managed office once you’re hiring. Sign your own long lease only when the team is stable and you’re sure of the location. Your registered office must be in place within 30 days of incorporation, and for GST it must be a real commercial address backed by an agreement, the owner’s consent and a recent utility bill. Leases are signed by the Indian company, paid in rupees and registered locally.
Why Bangalore, and why the office matters so much
Bengaluru is where most foreign companies start. In the second quarter of 2026, the city took 31.6% of all office space leased by foreign occupiers in India, according to JLL. In the third quarter, global capability centres (GCCs), the offshore hubs of multinational companies, made up about 65% of the city’s office leasing, according to Cushman & Wakefield.
That demand means good buildings don’t sit empty for long. Vacancy on Outer Ring Road, the city’s main tech corridor, was only about 4.5% in early 2026.
The office also matters more in India than in many markets. Commutes are long, so engineers choose employers partly on where they’d have to travel each day. Your address becomes part of your hiring pitch.
The playbook at a glance
| Stage | Team size | Best kind of space | Typical commitment | Time to move in |
|---|---|---|---|---|
| 1. Test the market | 1 to 5 | Coworking desks | Monthly | Days |
| 2. Set up the company | 5 to 30 | Private cabin or small managed office | 6 to 24 months | 1 to 4 weeks |
| 3. Build the team | 30 to 150 | Managed office built to your brief | 1 to 3 years | 1 to 3 months |
| 4. Settle down | 100 and up, and stable | Your own lease in a Grade A building | 3 to 9 years | 6 to 9 months |
You don’t have to pass through every stage. A company arriving with 80 people on day one might go straight to stage 3. But the order holds: each stage buys you flexibility until you know enough to commit.
Stage 1: Test the market with coworking desks

Many companies start before they have an Indian entity, with a few people hired through an employer of record (EOR). An EOR is a local firm that employs your staff on your behalf. At this stage you don’t need an office of your own. You need somewhere professional for a small team to work.
Coworking desks are the answer. Dedicated desks in Bengaluru typically cost about Rs 8,000 to Rs 15,000 per seat a month, with no fit-out, no deposit worth worrying about and the freedom to leave within a month.
Use this time well:
- Let your first hires tell you where they live and how they’d commute
- Visit three or four micro-markets on weekday mornings
- Start shortlisting buildings for stage 2, because the best ones go quickly
Stage 2: Set up the company and get the address right
Once you register an Indian company, the address becomes a legal matter. It’s the stage where foreign companies most often get stuck.
The registered office
Under Section 12 of the Companies Act, 2013, every company must have a registered office within 30 days of incorporation that can receive official notices. You confirm it to the Registrar of Companies on Form INC-22, with:
- A lease or rent agreement in the company’s name
- A utility bill for the premises, no more than two months old
- The owner’s written permission (a no-objection certificate, or NOC), if needed
Missing this can lead to a penalty of Rs 1,000 a day, up to Rs 1 lakh, and in serious cases the company can be struck off.
The GST address
Your GST registration needs a principal place of business. A virtual office or coworking address can work, but only if it’s a genuine commercial premises and the paperwork is complete:
- A service or rent agreement that explicitly allows use for company and GST registration
- An NOC from the owner
- A recent utility bill showing the same address
Addresses shared by hundreds of companies can draw extra scrutiny, and officers may carry out a physical check. A residential address won’t qualify.
Our advice: Rather than a pure virtual office, take a small private cabin in a reputable centre and have the operator issue documents that cover both company and GST registration. It costs little more, it gives your first team a real home, and it’s far less likely to cause trouble.
Stage 3: Build the team in a managed office

Once you’re hiring steadily, a managed office is usually the best fit. An operator leases a floor in a good building, fits it out to your layout and branding, and charges you a monthly fee per seat. You get your own space without spending capital or managing a construction project.
In Bengaluru, managed offices typically cost about Rs 8,000 to Rs 15,000 per seat a month in the mid-market, and up to around Rs 24,000 in premium buildings. Terms run from one to three years, and a custom-built space is usually ready within one to three months.
Before you sign, check:
- Room to grow. Ask for the first right to nearby space, so growth doesn’t force a move.
- What the seat price covers. Power, internet, housekeeping, meeting rooms and car parking are sometimes extra.
- Exit terms. Know the lock-in period and how much notice you must give.
- Security and compliance. If your parent company has information security standards, such as access control or separate network zones, make sure the operator can meet them.

Stage 4: Sign your own lease
When your headcount is steady and you know where your people live, a lease in a Grade A building usually becomes the cheaper option over five years or more. It also lets you design the office around your brand and culture.
This is where leasing works differently for a foreign-owned company. Here’s what to expect.
- The Indian company is the tenant. The lease is signed by your Indian subsidiary, not the overseas parent, by a person authorised through a board resolution.
- Everything is in rupees. Rent and deposits are paid from the Indian company’s bank account.
- Deposits are large. Expect 3 to 10 months’ rent as a security deposit, and budget for fit-out of Rs 1,500 to Rs 4,500 per sq ft.
- The lease must be registered. Leases longer than a year must be registered under the Registration Act, 1908. In Karnataka, stamp duty is about 1% of the average annual rent plus any advance or deposit, and registration costs about 0.5%.
- You deduct tax on rent. From 1 April 2026, under section 393 of the new Income-tax Act, 2025, companies deduct 10% tax at source on rent above Rs 50,000 a month and deposit it with the government.
- GST applies. Rent carries 18% GST, which you can usually claim back as input tax credit.
- Check the building. Confirm the title, the occupancy certificate and that the building is approved for commercial use.
Rent is only part of the cost. Maintenance, parking, after-hours air-conditioning and the deposit can add 30% to 50%. Our guide to the hidden costs of leasing office space breaks these down.
A full fit-out usually takes six to nine months from signing the term sheet to moving in. Many companies run stages 3 and 4 side by side, staying in a managed office until their own floor is ready.
Where to set up: Bangalore’s main office areas

| Area | Grade A rent (Rs per sq ft a month) | Best for |
|---|---|---|
| Outer Ring Road | 95 to 160 | Technology teams that want the deepest talent pool and big tech parks |
| Whitefield | 80 to 140 | Large teams that want campus-style parks at slightly lower rents |
| CBD and MG Road | Up to about 250 | Small leadership, sales and client-facing teams |
| Hebbal and North Bangalore | About 75 on average in the north | Airport access, newer buildings and more available space |
| Electronic City | 55 to 95 | Cost-sensitive operations teams in the south |
Two practical tips. First, map where your first 20 hires live before choosing an area. Second, check how far each building is from a metro station. The Blue Line along Outer Ring Road and to the airport is due to open in stages from 2027, and offices near its stations are likely to become more sought after.
Start the search early
Start the office search on the same day you start incorporating. Companies that leave the office until the entity is ready often lose two or three months, because the registered office deadline arrives before the right space is found.
Five mistakes foreign companies make
- Using an address that fails the GST check. A cheap virtual office can delay your GST registration by weeks.
- Signing for today’s headcount. A lease that’s full in year one forces an expensive move in year two.
- Choosing the area from abroad. A building that looks central on a map can mean a 90-minute commute.
- Forgetting the parent’s standards. Security, accessibility and sustainability rules from head office often apply in India too. Check them before you shortlist.
- Comparing rent instead of total cost. Compare the full monthly cost per usable sq ft, or per seat, across every option.

Frequently asked questions
Can a foreign company lease office space in Bangalore directly?
In practice, the lease is signed by the company’s Indian subsidiary or registered branch, and rent is paid in rupees from its Indian bank account. Before the entity exists, teams usually work from coworking desks booked through a local provider or employer of record.
Can a virtual office be used as a registered office in India?
Yes, if it’s a real commercial premises and you have an agreement allowing that use, the owner’s no-objection certificate and a recent utility bill. For GST, the address may be physically checked, so a small private cabin is usually the safer choice.
How quickly can a foreign company get an office in Bangalore?
Coworking desks can be ready within days. A managed office built to your brief usually takes one to three months, and your own leased floor takes six to nine months.
What does a first office in Bangalore cost?
Coworking desks and managed offices typically cost about Rs 8,000 to Rs 15,000 per seat a month, rising to around Rs 24,000 in premium buildings. Grade A leases range from about Rs 55 to Rs 250 per sq ft a month depending on the area, plus maintenance, deposits and fit-out.
Which area of Bangalore is best for a foreign company?
Outer Ring Road and Whitefield suit most technology teams. The CBD suits small leadership and client-facing teams. North Bangalore suits companies that need airport access and room to grow.
Do we need to visit India to set up our office?
Not for most of it. Shortlisting, video tours and negotiation can happen remotely. Most companies still visit before signing a long lease.
Your first Indian office doesn’t have to be a big, risky bet. Start small, get the address right for the law and the tax office, and commit to a long lease only once you know your team, your growth and where your people want to work.
